Definitions
- "Company," "We," "Us": Refers to IMSBD.
- "Client," "You": Refers to the organization or individual engaging our services.
- "Services": Refers to Gap Analysis, Internal Audits, Policy Development, Inspections, and Certification Support provided by IMSBD.
Scope of Services & Audit Limitations
- Nature of Audits: Our audits and assessments are based on a sampling process at a specific point in time. While we strive for accuracy, an audit does not guarantee the total absence of non-conformities, errors, or violations in your facility.
- No Guarantee of Outcome: Engaging our services for Gap Analysis or Consultancy does not guarantee that you will pass external third-party audits (e.g., by accreditation bodies like UKAS or GOTS), as the final decision rests with those specific bodies.
- Accuracy of Information: You agree to provide complete, honest, and accurate information during the audit process. IMSBD is not liable for findings based on falsified or withheld documents.
Booking & Payment Terms
- Invoicing: Invoices will be issued upon agreement of the service scope.
- Payment: Full payment is due within [e.g., 7 or 15] days of the invoice date or as specified in the service contract.
- Refunds: Fees for services already rendered (e.g., an audit day that has taken place) are non-refundable.
- Taxes: All fees are exclusive of VAT and Tax unless otherwise stated. The Client is responsible for applicable government levies.
Use of Certificates & Logos
- Validity: Certificates issued by IMSBD remain valid only if the Client maintains the required standards and pays surveillance fees (if applicable).
- Verification: The status of any certificate must be verified via our website's Certificate Check portal. We are not responsible for forged documents not validated by our system.
- Misuse: You may not alter, modify, or falsify IMSBD certificates. If a client is found misrepresenting their certification status (e.g., claiming to be certified when suspended), we reserve the right to revoke the certificate and take legal action.
Confidentiality & Intellectual Property
- Client Data: We agree to keep your proprietary business data (processes, trade secrets) confidential, sharing it only with accreditation bodies as strictly necessary.
- IMSBD Material: Audit checklists, training materials, and report templates provided by IMSBD remain the intellectual property of IMSBD. You may use them for internal compliance but may not resell or distribute them.
Limitation of Liability
To the fullest extent permitted by law, IMSBD shall not be liable for any indirect, incidental, or consequential damages resulting from:
- The use or inability to use our services.
- Decisions made by third-party certification bodies.
- Operational failures or accidents occurring at the Client's site after an audit has been conducted.
Our total liability for any claim arising out of our services shall not exceed the total amount paid by the Client for that specific service.
Termination
We reserve the right to terminate services or revoke certification immediately if:
- The Client fails to pay invoices.
- The Client violates ethical standards or attempts to bribe auditors.
- The Client fails to correct major non-conformities within the agreed timeframe.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts of Bangladesh.
